Terms of service

1. Your account

• You must be 18 or older to use NeedProof.
• Give accurate details when you sign up, and keep your password safe. You are responsible for everything that happens under your account.
• If you think someone else has accessed your account, change your password and tell us straight away at contact@demandit.tech.
• One person, one account. Do not open extra accounts to collect more free credits.
• If we have suspended your account, do not open a new one without our permission.
• While NeedProof is in beta, you may need an invite to sign up.

2. What NeedProof does and does not do

NeedProof helps you see what is proven about your business and what is not. It helps you organise evidence; it does not give advice.

• Scores and results are calculated from the evidence in your workspace. They are only as reliable as that evidence.
• AI output can be wrong or incomplete. Check it before you rely on it. AI reasoning is never counted as evidence.
• NeedProof does not give legal, tax, financial or investment advice. The setup guide points to official sources. Check them, and speak to a qualified professional before making important decisions.
• You are responsible for the decisions you make and the actions you take based on what NeedProof shows.
• Some features are in beta. We may add, change or remove features.

3. Services from other companies

NeedProof relies on services run by other companies, including AI model providers, web search, email delivery, file storage and hosting. The Privacy Policy lists them. We choose them carefully, but we do not control them, and their outages or errors can affect NeedProof.

4. Credits

Many AI actions use credits.

• You receive free credits as shown in the app. The amount may change.
• Credits have no cash value. They cannot be sold, transferred or refunded.
• When an action starts, its credits are reserved. They are only charged if the action succeeds.
• If an account appears to break these terms, its free credits may be limited while someone on our team reviews it.
• NeedProof does not sell credits today. If that changes, you will see the price and payment terms before you buy.

5. Your content and AI output

You own what you add to NeedProof, including business details, evidence, notes, files, surveys, documents and chats. To the extent the law allows, you also own the output NeedProof creates for you, such as drafts and summaries. Similar output may be created for other users, so it may not be unique to you.

You allow us to store, process and display your content only to run NeedProof for you. This includes sending it to the service providers listed in our Privacy Policy, such as AI providers. We do not use your content to train AI models.

• Only add content you have the right to use.
• When you collect survey answers or add details about other people, you are responsible for doing so lawfully. We store that data for you and follow your instructions.
• Anyone with a document share link can read that document until the link expires or you turn it off.
• If you send us feedback or ideas, we may use them to improve NeedProof without paying you or owing you anything.

6. Confidentiality

We treat the business information in your workspaces as confidential. People at NeedProof look at it only when you ask us for help, when a survey or upload is flagged for review, to investigate abuse or a security problem, or when the law requires it. We do not share it with investors, partners or anyone else unless you share it yourself.

7. Things you must not do

• Break the law, or help someone else break it, using NeedProof.
• Resell, rent or give others access to NeedProof, or to your account.
• Try to get around credit limits, rate limits or other restrictions.
• Try to make the AI ignore its instructions or safety checks, or use it to extract other people's personal data.
• Upload viruses or other harmful code, or interfere with how NeedProof runs.
• Try to access accounts, data or systems you are not allowed to access.
• Copy, scrape, reverse engineer or resell NeedProof, or use it to build a competing product.
• Use NeedProof to send spam or to mislead people.

8. Acceptable use of files and notes

NeedProof is for checking a business. Only upload documents about your business, such as a pitch deck, a price list, a bank letter, a lease or notes from conversations with customers.

• Only upload business documents.
• Do not upload sexual content, content that harms or threatens anyone, or anything you do not have the right to share.
• Do not use NeedProof for general file storage or file sharing. Your files are private to you.
• Remove personal details about other people that you do not need, such as phone numbers.

Files that are not about a business are not accepted. Files that break these rules are deleted, and repeated violations pause uploads on the account.

The text of your files and notes is sent to an AI provider to find facts and signals. Your money figures are never included.

9. Acceptable use of surveys

Surveys are for asking people about your business, its customers and its market.

• Never ask for passwords, PINs, verification codes, card numbers, bank or mobile money account numbers, ID numbers or dates of birth. Surveys that do are blocked.
• Do not pretend to be a bank, a telecom company, a mobile money service, a government body or any other organisation you are not. Surveys that appear to do so are held until someone at NeedProof approves them.
• Do not offer prizes or money for answers, and do not use a survey to sell.
• Only send surveys to people who would expect to hear from you. NeedProof never sends surveys on your behalf.

Surveys that break these rules are blocked or paused, and repeated violations pause publishing on the account.

10. Privacy for people who answer a survey

A survey collects only the answers typed into it. It sets no cookies and does not store network addresses or device details. To prevent spam and duplicate answers, NeedProof keeps a one-way code made from the network address, which cannot be turned back into the address.

Answers go to the person who created the survey. A contact detail is collected only if the person answering chooses to leave one, and only the survey's creator can see it. Contact details and written answers are never sent to an AI provider.

Anyone can report a survey from its page. Reported surveys may be paused. When a survey is removed, its answers and contact details are deleted.

11. Our property

NeedProof itself, including its software, design, name and logo, belongs to DEMANDIT LTD. While your account is in good standing, you may use NeedProof for your own business under these terms. This does not give you any other rights to NeedProof or our brand.

12. Suspension and account deletion

You can delete your account at any time from your account settings. Your data is then deleted as described in our Privacy Policy.

We may pause features on an account, or suspend or close it, if it breaks these terms, harms other people or puts NeedProof at risk, or if the law requires it. We will tell you why, unless the law or someone's safety prevents us from doing so.

When your account ends, your right to use NeedProof ends too. The sections on your content, confidentiality, our property, liability, indemnity and disputes continue to apply.

13. No warranty

NeedProof is in beta and is provided “as is”. To the extent the law allows, we do not promise that it will always be available, free of errors, secure from every attack, or fit for a particular purpose.

14. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue or data, or for decisions you make based on what NeedProof shows.

To the extent the law allows, our total liability to you is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) US$100.

Nothing in these terms limits any liability that cannot be limited by law, or removes any rights you have as a consumer.

15. Indemnity

If someone makes a claim against us because of your content, your surveys or your breach of these terms, you agree to cover our reasonable losses and costs, including legal fees, to the extent the law allows. This does not apply to anything caused by our own fault.

16. Disputes and governing law

If you have a problem with NeedProof, please contact us first at contact@demandit.tech. We will try to resolve it with you in good faith within 30 days.

These terms are governed by the laws of the Republic of Rwanda. Disputes that cannot be resolved informally will be decided by the competent courts in Kigali, unless the law where you live gives you the right to bring them before your local courts.

17. Changes to these terms

When we change these terms, we update the date at the top of this page. If a change is significant, we will tell you by email or in the app at least 30 days before it takes effect. If you continue to use NeedProof after that, the new terms apply. If you do not agree, you can delete your account.

18. General

• Notices: we may send you notices by email or in the app. You can send us notices by email.
• Events beyond our control: we are not responsible for delays or failures caused by events we cannot reasonably control, such as power or internet outages, failures at our service providers, natural disasters or government action.
• Transfer: you may not transfer these terms to someone else without our written permission. We may transfer them if NeedProof is sold or merged, and we will tell you if that happens.
• Severability: if a court finds part of these terms unenforceable, the rest still applies.
• No waiver: if we do not enforce a term straight away, we can still enforce it later.
• Entire agreement: these terms and our Privacy Policy are the whole agreement between you and us about NeedProof.
• No partnership: these terms do not create a partnership, joint venture, employment or agency relationship.
